Terms of Service

These Terms of Service govern access to and use of Nitoriq, including our websites, hosted application, APIs, tracking tools, reporting surfaces, conversion APIs, integrations, automation, AI features, and support services. By using Nitoriq, you agree to these terms.

Nitoriq is operated by ByteAssembly. References to "Nitoriq," "we," "us," and "our" mean ByteAssembly operating the Nitoriq service.

If you use Nitoriq for a company, agency, client, merchant, or other organization, you represent that you have authority to bind that organization to these terms.

1. Definitions and the service

"Service" means the Nitoriq websites, hosted application, APIs, tracking tools, reporting surfaces, integrations, automation features, AI features, documentation, and related services.

"Customer Data" means data submitted to Nitoriq by you or processed by Nitoriq on your behalf, including workspace data, campaign data, tracking data, attribution data, ecommerce data, reporting data, connected-platform data, and integration credentials.

"End Users" means people who visit websites, landing pages, stores, apps, or other properties where you deploy Nitoriq tracking or related features.

Nitoriq is a performance marketing operating layer for workspaces, campaigns, traffic routing, tracking domains, attribution, reporting, cost and revenue imports, ecommerce attribution, conversion APIs, API keys, shared reports, support workflows, and third-party integrations.

We may add, remove, suspend, or modify features over time, including trials, beta features, provider integrations, product limits, plan entitlements, and automation capabilities.

2. Accounts and workspaces

You are responsible for maintaining accurate account information, protecting credentials, and controlling who is invited into your account or workspace.

  • Each user is responsible for activity taken through their login, API keys, service principals, OAuth connections, and authorized integrations.
  • Workspace owners and admins are responsible for team roles, invitations, shared reports, support-access settings, billing access, and integration configuration.
  • You must promptly notify us if you believe your account, workspace, API keys, tokens, tracking domains, or integrations have been compromised.

3. Customer Data

You keep ownership of data you submit to Nitoriq or direct Nitoriq to process on your behalf, including campaign settings, tracking parameters, click and conversion information, uploaded files, report configurations, ecommerce data, support settings, and integration credentials.

You grant Nitoriq the limited rights needed to host, store, transmit, transform, display, secure, analyze, and otherwise process Customer Data to provide, support, protect, and improve the service.

You are responsible for ensuring you have all required rights, permissions, notices, consents, lawful bases, and contracts to collect and use data sent to Nitoriq, including data gathered through tracking links, landing pages, pixels, scripts, postbacks, conversion APIs, ecommerce stores, uploaded files, and third-party imports.

You are responsible for your campaigns, offers, landing pages, ads, creatives, claims, redirects, tracking configurations, conversion events, data destinations, and business decisions made using Nitoriq. You must ensure that your use of Nitoriq complies with applicable laws, advertising rules, platform policies, affiliate network terms, ecommerce platform rules, and any commitments you make to your own customers, clients, merchants, or End Users.

4. Privacy and data protection

Our Privacy Policy explains how Nitoriq processes personal information. If required by data protection law or by your business needs, you are responsible for entering into an appropriate data processing agreement with Nitoriq before using the service for regulated personal data.

You are responsible for your own privacy notices, cookie or tracking consent flows, opt-out choices, data subject request handling, retention settings, and privacy law compliance for websites, apps, stores, campaigns, and customer properties where you deploy Nitoriq.

5. Acceptable use

You may not use Nitoriq to:

  • Violate applicable law, regulation, or third-party rights.
  • Process data you are not authorized to collect, share, transmit, analyze, or store.
  • Interfere with the service, bypass limits, probe vulnerabilities, overload infrastructure, or attempt unauthorized access.
  • Send malware, spam, deceptive traffic, cloaking, phishing, credential-harvesting flows, or unlawful content through Nitoriq domains, redirects, APIs, scripts, or reporting tools.
  • Use Nitoriq for unlawful surveillance, discriminatory profiling, unauthorized sensitive-data enrichment, or decisions that require regulated legal, financial, employment, housing, healthcare, or credit determinations.
  • Use shared reports, support workflows, exports, APIs, or service principals to expose data to unauthorized parties.
  • Remove, obscure, or misrepresent Nitoriq service identifiers, platform disclosures, or required notices.

6. Advertising and platform compliance

Nitoriq integrates with third-party ad platforms, affiliate networks, monetization providers, ecommerce systems, OAuth providers, payment providers, and other external services. Your use of those services remains subject to their own terms, policies, privacy rules, data-use restrictions, app-review requirements, advertising policies, and API limits.

Nitoriq does not override or replace your obligations to connected platforms. If a platform restricts access, revokes permissions, changes API behavior, rejects conversion events, limits data use, or requires deletion, you remain responsible for complying with those platform requirements.

  • You may only connect accounts, pixels, data sources, ad accounts, stores, and customer lists that you are authorized to use.
  • You must comply with the applicable terms of platforms such as Google, Meta, TikTok, Snapchat, Pinterest, Reddit, Microsoft, Taboola, Outbrain, Shopify, affiliate networks, and any other connected provider you use with Nitoriq.
  • You may not use platform data in ways prohibited by the originating platform, including unauthorized resale, transfer, surveillance, profiling, or use outside the purpose approved by the platform and the user.
  • You are responsible for honoring platform deletion, revocation, data-retention, user-consent, and app-review requirements that apply to your use of connected accounts.

7. Integrations, credentials, and APIs

You authorize Nitoriq to use credentials, tokens, keys, secrets, connected accounts, webhooks, and account selections you provide to access, sync, transform, and transmit relevant data for the features you enable.

  • We are not responsible for third-party downtime, API changes, revoked permissions, provider policy changes, rate limits, sandbox restrictions, app-review delays, or externally supplied data inaccuracies.
  • You must not share API keys, tokens, or service-principal credentials with unauthorized users or use them outside your permitted workspace and plan.
  • We may throttle, suspend, revoke, or rotate access where needed to protect Nitoriq, comply with provider requirements, or address misuse.

8. Tracking, conversion APIs, and match data

Nitoriq may let you collect tracking events and send conversion events, click IDs, hashed identifiers, IP addresses, user agents, order data, transaction data, and other match keys to destinations you configure.

You are responsible for deciding which fields to collect and send, ensuring the data is accurate and lawfully obtained, and providing any required consent or opt-out choices. You must not send sensitive personal information, protected health information, payment card data, government identifiers, passwords, or other regulated data to Nitoriq unless expressly authorized in writing and supported by the relevant feature.

9. Ecommerce and Shopify

If you use ecommerce features, you authorize Nitoriq to process store, pixel, order, checkout, refund, product, customer-event, and attribution data needed to provide commerce attribution, reporting, diagnostics, and reconciliation.

For Shopify, you are responsible for installing and configuring the app only on stores you are authorized to manage and for ensuring your storefront privacy notice and consent settings describe your use of Nitoriq and related tracking or attribution features.

Shopify merchants remain responsible for their own storefront notices, customer consents, checkout configuration, data subject request handling, app permissions, and compliance with Shopify's merchant-facing obligations.

10. Shared reports and external access

Nitoriq may allow teams to create shared report links and to control settings such as expiration, export permissions, visible columns, filters, and layout behavior.

If you create or distribute a shared report, you are responsible for the audience that receives it, the access settings you choose, and the information made available through that link.

11. Support access

Nitoriq includes controlled support-access workflows that may permit read-only access, assisted-write access, or approved impersonation, depending on account policy settings and the support workflow used.

  • Support access may require customer approval, may be limited by session duration, and may be disabled by account policy.
  • Nitoriq records audit events relating to support sessions, approvals, and related actions.
  • You are responsible for configuring support-access policies in a way that fits your compliance and operational needs.

12. AI and Copilot features

Nitoriq may provide AI-assisted features such as report summaries, suggested analysis, report-state validation, automation guidance, and approval-backed actions. AI outputs are generated from available context and may be inaccurate, incomplete, or unsuitable for your use case.

You are responsible for reviewing AI outputs, validating proposed actions, and deciding whether to approve or use them. Nitoriq does not provide legal, financial, accounting, tax, or advertising-policy advice through AI features.

AI features are intended to assist human review, not to replace your own judgment. You should not rely on AI outputs as the sole basis for budget changes, campaign actions, legal compliance, financial decisions, or platform policy decisions.

13. Beta and experimental features

We may offer alpha, beta, preview, trial, sandbox, or experimental features. These features may be incomplete, changed, limited, suspended, or discontinued at any time and may be subject to additional terms or restrictions.

14. Billing and paid features

Some Nitoriq features require a paid plan, payment method, active subscription, usage entitlement, or add-on. Billing state may affect access to workspaces, limits, data retention, premium features, and support.

Payments may be handled by a third-party billing provider such as Paddle or Stripe. Your billing relationship with those providers is also subject to their terms. Fees are generally non-refundable except where required by law or where Nitoriq expressly agrees otherwise in writing.

Paid subscriptions may renew automatically unless canceled before the renewal date. You are responsible for reviewing plan limits, usage limits, renewal dates, taxes, and billing settings before purchasing or continuing a paid plan.

If you cancel, downgrade, fail to pay, or exceed applicable limits, we may limit, suspend, downgrade, or remove access to paid features, workspaces, integrations, data retention, support, or other plan entitlements.

15. Intellectual property

Nitoriq and its software, websites, documentation, designs, logos, trademarks, workflows, templates, and technology are owned by Nitoriq or its licensors. These terms do not grant you ownership of Nitoriq intellectual property.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription or permitted trial.

You may not:

  • Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Service except where the law does not allow that restriction.
  • Access Nitoriq to build, benchmark, or train a competing product or service.
  • Resell, sublicense, rent, lease, or provide Nitoriq as a standalone service to third parties unless we expressly agree in writing.
  • Remove, obscure, or alter proprietary notices, security controls, tracking identifiers, or service limitations.

16. Feedback

If you provide feedback, suggestions, or ideas, you grant Nitoriq permission to use them without restriction or compensation. We are not required to treat feedback as confidential unless we separately agree in writing.

17. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these terms, provide or receive the service, comply with law, or exercise rights under these terms.

18. Security

We use reasonable technical, organizational, and administrative safeguards designed to protect the Service and Customer Data. However, no system is perfectly secure, and we cannot guarantee that unauthorized access, loss, misuse, or interruption will never occur.

You are responsible for using strong credentials, protecting API keys and tokens, limiting workspace access, configuring roles appropriately, and promptly notifying us of suspected unauthorized access.

19. Availability, changes, and suspension

We work to keep Nitoriq available and secure, but we do not guarantee uninterrupted or error-free operation.

We may suspend or limit access if necessary to protect the service, investigate abuse, respond to legal or platform obligations, prevent harm, comply with provider requirements, or address security, billing, or policy issues.

20. Termination

You may stop using Nitoriq at any time. We may suspend or terminate access if you materially violate these terms, fail to pay applicable fees, create risk for the service or other users, violate provider or platform requirements, or if we are required to do so by law.

After termination or account closure, we may delete or disable access to Customer Data according to our retention practices, plan limits, backup cycles, legal obligations, security needs, and any applicable data processing terms. You are responsible for exporting Customer Data you need before termination or before access is removed.

Provisions that by their nature should survive termination, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnity, and dispute-related terms, will survive.

21. Disclaimers

Nitoriq is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee the accuracy of attribution models, reporting data, third-party platform data, cost or revenue imports, conversion matching, AI outputs, automation recommendations, or provider API results. You are responsible for reviewing data and decisions before acting on them.

22. Limitation of liability

To the fullest extent permitted by law, Nitoriq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, advertising spend, business opportunities, or business interruption arising from or related to your use of the service.

To the fullest extent permitted by law, Nitoriq's aggregate liability for claims arising from or related to the service or these terms will not exceed the amounts paid by you to Nitoriq for the service in the twelve months before the event giving rise to the claim.

23. Indemnity

You will defend, indemnify, and hold harmless Nitoriq from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your Customer Data, your use of the service, your campaigns or stores, your connected accounts, your violation of law or third-party rights, or your breach of these terms or applicable platform requirements.

24. Changes to these terms

We may update these terms from time to time. If we make a material change, we may provide notice through the service, the marketing site, or by email. Your continued use of Nitoriq after updated terms take effect means you accept the revised terms.
